Terms of Sale and Use

These Terms of Sale govern the contractual relationship between WHATALEAD SAS and any professional customer or partner subscribing to the services.

Article 1. Purpose and Service Description

Whatalead provides conversational AI and WhatsApp Business solutions, including Setlyy and Formlyy, to help customers qualify inbound leads, automate conversations and book meetings.

Article 2. Term and Termination

The subscription term, renewal conditions and termination rules are defined in the commercial proposal, order form or contract accepted by the customer.

Article 3. Financial Conditions

Prices, billing frequency, setup fees and usage-based costs are specified in the commercial proposal. Unless otherwise agreed, invoices are payable according to the terms stated on the invoice.

Article 4. Obligations and Liability

The customer is responsible for the lawfulness of campaigns, opt-in collection, use of WhatsApp Business and supervision of automated messages. Whatalead is not responsible for platform restrictions imposed by Meta or other third-party providers.

Article 5. Intellectual Property

Whatalead retains ownership of its software, technologies, interfaces, scripts and know-how. The customer receives only the usage rights required for the subscribed service.

Article 6. Non-Competition and Non-Solicitation

Where applicable, non-competition or non-solicitation obligations are governed by the accepted commercial agreement between the parties.

Article 7. Personal Data

For service delivery, Whatalead acts as a processor under GDPR. The customer remains the controller of its own end-customer data and must ensure a valid legal basis for processing.

Article 8. Governing Law and Jurisdiction

These terms are governed by French law. Any dispute falls within the jurisdiction defined in the French reference version and applicable contractual documents.
